Golden Predator Mining Corp

Golden Predator to Acquire Viva Gold
 Golden Predator executed a definitive agreement to acquire Viva Gold Corp. (OTCQB, VAUCF, Not Rated) by way of a plan of arrangement in an all-stock transaction. Shareholders of Viva will receive 1.60 Class A common shares of Golden Predator for each common share of Viva Gold. Upon closing, Viva Gold shareholders will own approximately 27% of Golden Predator&#8217;s outstanding shares. Golden Predator is proposing to distribute 8,620,000 common shares of C2C Gold Corp. (CSE, CTOC, Not Rated) to Golden Predator shareholders as a return of capital prior to closing which is reflected in the exchange ratio.&nbsp;The transaction is expected to close on or about May 3, 2021 and is contingent on the approval by Viva Gold shareholders, court approvals of the arrangement and the return of capital, and by the TSX Venture Exchange.&nbsp;The transaction requires approval of at least 2/3 of votes cast by the Viva shareholders.&nbsp;
As of January 18, 2021, Golden Predator had 172.3 million shares outstanding. Including 6.1 million share options and 6.9 million warrants outstanding, fully diluted shares were 185.4 million. As of February 8, 2021, Viva Gold had 39.2 million shares outstanding. Including 2.5 million share options and 12.3 million warrants outstanding, fully diluted shares were 54.0 million.&nbsp;
Mr. James Hesketh, CEO of Viva Gold, will lead the combined company and Mr. Michael Maslowski will serve as Chief Operating Officer. The Board of Directors will include: 1) William Sheriff, Executive Chair, 2) James Hesketh, CEO, 3) two nominees selected by Viva Gold, and 4) three nominees selected by Golden Predator.
Golden Predator is advancing the Brewery Creek Mine in Canada&#8217;s Yukon territory. A bankable feasibility study (BFS) is being completed by Kappes Cassiday &amp; Associates and will include a multi-year mine plan for the advancement of the Brewery Creek project. We think it will likely be released this month. Completion of the BFS will enable the company&#8217;s Board of Directors to make a production and financing decision.
Viva Gold is advancing the Tonopah Gold Project in the Walker Lane Trend of Nevada towards feasibility and construction permitting. Tonopah has a measured and indicated gold resource of 326 thousand ounces at 0.79 grams of gold per tonne and inferred gold resource of 181 thousand ounces at 0.67 grams per tonne. The project benefits from a positive preliminary economic assessment based on a gold price of $1,400 per ounce and management contemplates a high-grade starter pit with near surface gold resources leading to early cash flow generation and lower capital risk. Viva expects to commence a feasibility study in the second quarter of 2021 and initiate permitting during the second half of the year. &nbsp;&nbsp;
Key transaction benefits include: 1) Greater size and diversification with consolidated ownership of the Tonopah Gold Project in Nevada and the Brewery Creek Mine in the Yukon, 2) a combined 1.8 million ounces of measured and indicated heap leachable gold resources, with an additional 0.8 million ounces of inferred gold resources, along with significant exploration potential, 3) enhanced balance sheet and liquidity with over $6.3 million in net cash and marketable securities, and 4) cost synergies. 
We think the combination will result in a stronger entity with greater appeal to investors than either Viva or Golden Predator on a stand-alone basis. We appreciate the diversification benefits of a multi-asset company and the efficiencies gained from putting them under one roof. Mr. Hesketh is an experienced mining executive with significant operating experience and is well-suited for advancing both projects.
